# Terms and Conditions

## 1. Agreement to Terms

These Terms and Conditions (“Terms”, “Agreement”) govern your use of the Import Export Suite application (“App”, “Service”) operated by HoppaYou (“we”, “us”, or “our”).

By installing, accessing, or using the Import Export Suite App, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

## 2. Definitions

**”App User”** or **”you”** means the Shopify store owner or authorized user who installs and uses Import Export Suite

**”Service”** means the Import Export Suite application and all related services, features, and content

**”Shopify Store”** means your e-commerce store hosted on the Shopify platform

**”Plan”** means the subscription tier you have selected (Free, Suite, or Suite Plus)

**”Data”** means any information, content, or files processed through the Service

## 3. Relationship with Shopify

3.1. The App is developed and published on the Shopify App Store in accordance with Shopify’s Terms of Service and Partner Program Agreement.

3.2. By using Import Export Suite, you also agree to be bound by Shopify’s Terms of Service. In case of any conflict between these Terms and Shopify’s Terms of Service, Shopify’s Terms of Service shall prevail.

3.3. We are not affiliated with, endorsed by, or sponsored by Shopify Inc. We are an independent third-party developer.

## 4. Service Description

4.1. Import Export Suite provides bulk import, export, and update functionality for Shopify store data, including but not limited to:

– Products and variants

– Collections

– Customers

– Orders

– Metafields

– Other Shopify resources

4.2. The Service processes data through CSV, XLSX, JSON, and XML file formats.

## 5. Account and Access

5.1. You must have a valid Shopify store to use the Service.

5.2. You are responsible for maintaining the security of your Shopify account and all activities that occur under your account.

5.3. You must provide accurate and complete information when using the Service.

5.4. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

## 6. Subscription Plans and Billing

6.1. **Free Plan**: Available with limited features at no cost. May be discontinued or modified at any time.

6.2. **Paid Plans** (Suite and Suite Plus):

– Billed monthly through Shopify’s billing system

– Charges appear on your Shopify invoice

– Prices are listed at https://iesuite.com/pricing/ and may change with 30 days’ notice

– Automatic renewal unless cancelled

6.3. **Billing Cycle**:

– Billing begins when you subscribe to a paid Plan

– Charges recur monthly on the same day of the month

– Pro-rated charges may apply for mid-month upgrades

6.4. **Payment**:

– All payments are processed through Shopify

– You authorize Shopify to charge the payment method on file

– Failed payments may result in service suspension

6.5. **Plan Changes**:

– You may upgrade or downgrade your Plan at any time

– Upgrades take effect immediately with pro-rated charges

– Downgrades take effect at the next billing cycle

## 7. Cancellation and Refunds

7.1. **Cancellation**:

– You may cancel your subscription at any time through the Shopify admin

– Cancellation takes effect at the end of the current billing period

– No refunds for partial months

7.2. **Refund Policy**:

– Refunds are issued at our sole discretion

– Maximum refund amount is limited to one monthly charge of your current Plan

– Only one refund per Shopify Store is permitted

– Refunds may be denied if:

– The App was actively used during the paid period

– Features were accessed and functioned as described

– More than 14 days have passed since the charge

7.3. **Free Trial/Demo**:

– A Free Plan is available for testing features before subscribing

– We recommend testing the App with the Free Plan before purchasing

7.4. **Refund Requests**:

– Submit refund requests to support@iesuite.com

– Include your Shopify store domain and reason for refund

– Requests are processed within 5-7 business days

## 8. Acceptable Use

8.1. **Permitted Use**:

You may use the Service only for lawful purposes and in accordance with these Terms.

8.2. **Prohibited Use**:

You agree NOT to:

– Violate any applicable laws or regulations

– Infringe on intellectual property rights

– Transmit malicious code, viruses, or harmful data

– Attempt to gain unauthorized access to the Service

– Use the Service to spam, harass, or abuse others

– Reverse engineer, decompile, or disassemble the App

– Resell or redistribute the Service without permission

– Use automated systems to access the Service excessively

– Process data you don’t have rights to process

– Violate GDPR, CCPA, or other data protection laws

8.3. **Violation Consequences**:

Violation of acceptable use may result in immediate termination of your account without refund.

## 9. Data Processing and Privacy

9.1. We process your data as described in our Privacy Policy available at https://iesuite.com/privacy-policy/

9.2. We act as a Data Processor when handling personal data from your Shopify store. You are the Data Controller.

9.3. Our Data Processing Agreement (DPA) is available at https://iesuite.com/data-processing-agreement/ and forms part of these Terms.

9.4. **Your Responsibilities**:

– Ensure you have legal rights to all data you process

– Comply with GDPR, CCPA, and other applicable data protection laws

– Obtain necessary consents from your customers

– Maintain appropriate security measures

9.5. **Our Responsibilities**:

– Process data only according to your instructions

– Implement appropriate security measures

– Notify you of data breaches as required by law

– Delete or return data upon request

## 10. Intellectual Property

10.1. **Our IP**:

The Service, including all software, designs, graphics, text, and content, is owned by HoppaYou and protected by copyright, trademark, and other intellectual property laws.

10.2. **Your IP**:

You retain all rights to your data and content. By using the Service, you grant us a limited license to process your data solely to provide the Service.

10.3. **License to Use**:

We grant you a non-exclusive, non-transferable, revocable license to use the Service according to these Terms.

10.4. **Feedback**:

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

## 11. Service Availability and Modifications

11.1. **Availability**:

– We strive for 99.9% uptime but do not guarantee uninterrupted service

– Scheduled maintenance will be communicated in advance when possible

– Emergency maintenance may occur without notice

11.2. **Service Modifications**:

– We may modify, update, or discontinue features at any time

– Significant changes will be communicated via email or in-app notifications

– Continued use after modifications constitutes acceptance

11.3. **API Changes**:

– The Service relies on Shopify’s API

– Shopify API changes may affect Service functionality

– We will adapt to API changes but cannot guarantee immediate compatibility

## 12. Limitations of Liability

12.1. **No Warranty**:

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2. **Limitation of Liability**:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOPPAYOU SHALL NOT BE LIABLE FOR:

– Any indirect, incidental, special, consequential, or punitive damages

– Loss of profits, revenue, data, or business opportunities

– Damage resulting from your use or inability to use the Service

– Errors, mistakes, or inaccuracies in data processing

– Unauthorized access to your data

– Bugs, viruses, or other harmful components

12.3. **Maximum Liability**:

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12.4. **Data Loss**:

We are not responsible for data loss. You are responsible for maintaining backups of your data.

12.5. **Third-Party Actions**:

We are not liable for actions or omissions of third parties, including Shopify.

## 13. Indemnification

You agree to indemnify, defend, and hold harmless HoppaYou, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

– Your use of the Service

– Your violation of these Terms

– Your violation of any laws or third-party rights

– Your data or content

– Disputes between you and your customers

## 14. Termination

14.1. **By You**:

You may terminate this Agreement at any time by uninstalling the App and cancelling your subscription.

14.2. **By Us**:

We may terminate or suspend your access immediately, without notice, for:

– Violation of these Terms

– Fraudulent activity

– Non-payment

– Illegal use of the Service

– Risk to other users or the Service

14.3. **Effect of Termination**:

– Your right to use the Service immediately ceases

– You remain liable for any outstanding charges

– Certain provisions (liability, indemnification, IP) survive termination

– We may delete your data after termination

## 15. Dispute Resolution

15.1. **Governing Law**:

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

15.2. **Jurisdiction**:

Any disputes shall be resolved in the courts of the Netherlands.

15.3. **Informal Resolution**:

Before filing a claim, you agree to contact us at support@iesuite.com to attempt informal resolution.

15.4. **Class Action Waiver**:

You agree to resolve disputes individually and waive the right to participate in class actions.

## 16. General Provisions

16.1. **Entire Agreement**:

These Terms, together with our Privacy Policy and DPA, constitute the entire agreement between you and HoppaYou.

16.2. **Severability**:

If any provision is found unenforceable, the remaining provisions continue in full force.

16.3. **Waiver**:

Failure to enforce any right or provision does not constitute a waiver.

16.4. **Assignment**:

You may not assign or transfer these Terms. We may assign them without restriction.

16.5. **Force Majeure**:

We are not liable for delays or failures due to circumstances beyond our reasonable control.

16.6. **Notices**:

Notices to you may be sent via email or in-app notifications. Notices to us should be sent to support@iesuite.com.

16.7. **Language**:

These Terms are written in English. Translations are for convenience only.

## 17. Changes to Terms

17.1. We reserve the right to modify these Terms at any time.

17.2. Changes will be effective immediately upon posting to https://iesuite.com/terms-and-conditions/

17.3. Material changes will be communicated via email or in-app notification.

17.4. Continued use after changes constitutes acceptance of the modified Terms.

17.5. If you disagree with changes, you must stop using the Service and cancel your subscription.
